Terms of Service

The short version: install it, use it, uninstall whenever you like from your Shopify admin. It is free while in early access and nothing charges on its own. The reports describe what we observed on your store — they are measurements, not business advice, and they cannot see what Shopify does not send us.

1. These terms

These terms are an agreement between you and Nepila, covering nepila.com, the Shopify app MerchantOS: Visitor Intent, and NewsQuoted. Installing the app or using either site means you accept them. If you are agreeing on behalf of a company, you confirm you are allowed to do so.

2. What the service does

MerchantOS records shopper behaviour on your Shopify store and reports where shoppers stop on the way to checkout, with a weekly email summary. Our Privacy Policy describes exactly what is collected.

We may change, add to, or remove features as the product develops. If we remove something you rely on, we will say so by email before it goes.

3. Plans and billing

  • —The app is currently free while it is in early access. Every feature is included, there are no usage caps, and no card is held.
  • —You will never be charged without choosing a paid plan yourself. If we introduce one, merchants already using the app are told by email before it applies to them.
  • —Any future charge would be billed by Shopify through its managed pricing, on your Shopify invoice, and cancellable from your Shopify admin.
  • —Uninstalling stops everything immediately and schedules your data for deletion.

4. Your data

You own your store's data. We hold it to provide the service, and you can export or delete it at any time. Uninstalling the app schedules deletion of everything we hold for your store.

You are responsible for having a lawful basis to collect shopper behaviour on your own store, and for your store's privacy notice and cookie or consent banner. The app respects the customer privacy settings you configure in Shopify.

5. Acceptable use

Do not use the service to:

  • —break the law, or Shopify's own terms and API rules;
  • —collect data from a store you do not operate;
  • —attack, overload, reverse-engineer, or resell the service;
  • —send unsolicited email through the offer feature.

We may suspend an account that does any of these, and will tell you why.

6. What the reports are, and are not

The reports state what we observed. They deliberately do not claim to explain why a shopper stopped, and they abstain from stating a rate when the sample behind it is too small. Some traffic is invisible to every app — accelerated checkouts such as Shop Pay emit no checkout steps, and visitors who decline tracking produce no events at all.

Decisions you take on the strength of a report are your own. Nothing in the product is a guarantee of revenue, conversion, or any other commercial outcome.

7. Availability

We aim to keep the service running continuously and to fix problems quickly, but we do not offer a formal uptime guarantee. Planned maintenance that will interrupt the service is announced by email beforehand.

8. Liability

The service is provided as-is. To the extent the law allows, our total liability for any claim relating to the service is limited to what you paid us in the three months before the claim, and we are not liable for indirect or consequential loss, including lost profit or lost data. Nothing here limits liability that cannot be limited by law.

9. NewsQuoted

NewsQuoted is free to read and provided for reference. Quotes are reproduced from published sources and linked back to them; the underlying articles remain the property of their publishers. If you believe a quote is wrong or misattributed, tell us and we will check it against the original.

10. Changes and contact
